Amway $10.2 billion in Sales Fiscal 2010-2011

Reliable sources confirm Amway exceeded $10.2 billion in global sales for the 2010/2011 IBO financial year.

Note that this is not the official 2011 sales figures – which should be self-evident since the year isn’t finished yet. In 1999/2000 Amway/Alticor switched to reporting sales for a calendar year, to match the Alticor financial year. These are the figures Amway/Alticor releases every February.

The IBO financial year however runs from September to August (matching the original Amway Corp financial year), and sales for this period are still reported internally and to Amway field leadership. It is at those meetings that the $10.2 billion figure has been presented. The Alticor figures that will be published in February will include revenues from other Alticor interests, such as Amway Grand Plaze, Fulton Innovation, Gurwitch products, and others.

A few years ago they were reported as being around $100 million and they are probably higher today. This means that when Alticor’s official sales are published in February they’ll likely be higher than $10.2 billion. This is, obviously, a huge milestone for Amway, particularly given global financial circumstances. Another question that has arisen is whether this now makes Amway the #1 direct sales company, surpassing Avon?

Given Avon did $10.9 billion in 2010 it’s unlikely. Furthermore, as a public company, Avon reports their sales quarterly so it’s relatively simple to calculate their revenue for the October 2010 to September 2011 period, shifted just one month from the Amway sales. The result? For September 2010 to August 2011, Amway did $10.2 billion. For October 2010 to September 2011, Avon did $11.5 billion.

An unfortunate email was circulated, alleging that Max International, LLC (Max International) has failed to fulfill a donation commitment to Prevent Child Abuse Utah (PCAU). The information published in the email does not reflect the understanding between PCAU and Max International regarding the parties’ relationship or any obligation by Max International to PCAU.  

PCAU and Max International have partnered with each other to raise money for the prevention of child abuse and each appreciates the efforts of the other toward that common goal. PCAU and Max International are not in dispute over the matters mentioned in the email or over any other matters, and the organizations look forward to working with each other in the future.

It does NOT say Max has paid the money.  It just say the understanding regarding the obligation. In other words, Max has NOT paid the money they collected from Associates YET.  But at sometime in the future Max will  pay off the $37,000.  Of course, Max got the money and kept the money because they needed the money to pay their own bills.  Bottom line, it still indicates Max may have a cash flow problem. 

Neither Max or PCAU deny the allegation, they just say they now have an understanding.

Max International without Cash?

Max International neglects to pay $37,0000+ donations raised for Abuse Child.

During the Max International All-Star Convention in October 2010 $47,341 was collected by Max Associates.

Max Corporate has been only paying $10,000 out of the amount, and never paid the balance of $37,341.80 (that was promised the following month (7 months after they collected).  According to Gina DeSantis of PCAU, to this day, they never received that $37,341.80.

According to our reporters, Max has experienced 3 situations in the last 2 months where products where on back-order.  Apparently Max's credit line from their product manufacture is bad.  Consequently they can not keep enough product on hand to meet recurring demands. Max suggests that sales have increased, but that is not completely true.  In our reporters opinion, Cash flow is the issue.
 
Max is paying off settlements from law suit settlements with Melaleuca and numerous distributors, plus high overhead.  They had enormous legal fees also. They still have an outstanding $450,000,000 dollar law suit with Tripharma.  http://successplan.com/tripharma-llc-files-patent-infringement-lawsuit-for-450-million  The law suit against the Unclebach's was an attempt by Max to stop them from filing a law suit.  Apparently they are going into arbitration during the first week of January.
 
Commissions payments were delayed by one day last month and employee Christmas bonuses were also delayed by a week.
 
PCAUAll these signs are indicative of a company that is operating on slim margins and is having cash flow issues.  If not, it is a sign of an inefficiently run company.  Timely shipment of products and paying commissions on time are critical components to retaining the trust of Distributors in the field.

Effective today, I am formally resigning my position as an Independent Platinum Associate with Max International.  After putting 4 years of my life into this company, I can no longer pursue and share with others the Max Business or the Max Products.

This decision is in part based what I believe may be some serious contractual interferences on the part of various Max executives, including but not limited to, interference with the NFL Players Association, the Roman Gabriel III debacle with more than $40,000 in free product being distributed to the field outside the compensation plan, the Sports Dream saga with manipulating volume in the binary tree and the side deals, the Korean organization, and most recently the interference with the Corporate Sponsorship of the Philippine National Team resulting in no volume in the organization and then the duplication of that organization in another binary leg.
 
I also have serious questions about the existence of the touted clinical studies on MaxGXL, the exclusivity issue of MaxGXL, no apparent government recognized safety tests on various products (including but not limited to GRAS certification on Riboceine®), the “prevention of diseases” wording in the Cellgevity trademark, the promised infomercials and leads that never happened, the Max 1-A-Day car promotion that was never honored, the termination of associates without following Max Corporate's own Policy and Procedures, defaming of past Corporate employees, and various family members of several Max Corporate Officers being inserted in the tree.

Further, I am also dismayed at the lackadaisical rejection by Max of our recent attempt to acquire an interest in Max in conjunction with School of the Legends. 
 
As you are aware, I made every positive attempt to resolve the issues above over the past year and as mentioned above, I even pursued a re-branding of Max with a potential partial buyout in August & September of 2011, that in my opinion could have changed this company's image in a major positive way.   However, all my personal attempts to resolve these issues have fallen short. 
 
As I result I feel that I am left with no choice but to submit this resignation from Max, and wish the friends and families who remain with it the best of luck.

Mary Kay 200,000 New Distributors In 6 Months

Thousands of women were recognized for expanding their businesses at the Mary Kay Cosmetics Career Conference's awards nights in Dallas this past summer because, contrary to almost everything else in the current economic downturn, lipstick sells in tough times.

In the first six months of this year, more than 200,000 recruits signed up to sell Mary Kay products. There are now 2.5 million independent sales consultants selling $2.5 billion worth of mascara, moisturizer and other beauty products globally.

People still want to buy lipstick, CEO David Holl told Nightline. They may not want to buy as many lipsticks or as much of the skincare line, but you clearly see that if you have a value product that is just a little bit lower price point, that our sales force and their customers jump on that for sure.

Mary Kay's success is based on personalized attention, competitive prices, a fun way to shop and convenient delivery. Courtney Armstrong was a big seller in East Texas when Nightline first profiled her in 2009 and she says the recession hasn't slowed her down since then.

I know the economy's kind of hurting a lot of people, but really we haven't seen that in Mary Kay, she said. I have more customers now, more consultants now that I've been working with and it's really been an incredible year. We increased over the last year and added over a hundred new women to my team in the past year.

Armstrong and her team sell enough make-up to keep her in one of those famous pink Cadillac SUVs – her second, and she's positioned to earn a third.

A lot of women are looking for a back-up plan, Armstrong said. They're concerned about stability of their job, the stability of their husband's job. So they're looking for a back-up plan. A way to make extra money.

Company founder Mary Kay Ash, who started the business in 1963, joins a long list of other famous female entrepreneurs who have turned a simple idea or product to a branded empire.

Avon Looking For Fresh Energy

Dec. 15 (Bloomberg) — Replacing Avon Products Inc.’s Chief Executive Officer Andrea Jung with an outsider may inject fresh energy into a company where the leader and much of her board have served for more than a decade.

The cosmetics seller’s management needs someone “to shake them out of their entrenched ways of doing things,” said Ali Dibadj, an analyst at Sanford Bernstein & Co. in New York who has covered Avon since 2007. Avon, which generates more than 80 percent of revenue outside the U.S., said Dec. 13 that Jung will step aside as CEO next year and remain chairman while it contends with slowing sales and profit growth.

The new CEO should be an operations person with strong emerging-markets knowledge, Dibadj and other analysts said in interviews. The trick will be to find someone who can allow Jung to continue her role as an embodiment of the 125-year-old brand, they said. The new executive will enter an environment quite unlike the one Jung encountered when she became CEO in 1999. Because she had a marketing background, the New York-based company surrounded her with executives with operating experience, said Connie Maneaty, an analyst at BMO Capital Markets in New York.

In recent years, Jung ran the company without benefit of executives like Liz Smith, who left two years ago after leading the North American operations and global brands as president. While Jung, 53, had a laudable “vision of connecting women to economic independence through direct selling,” her execution was lacking, Maneaty said in an interview. Succession Planning Smith, who left to head OSI Restaurant Partners LLC, was considered a potential heir apparent at a company that had given succession planning short shrift, Dibadj says. With no obvious internal candidates, Avon must hire an outsider.

The person need not be knowledgeable about Avon’s direct- selling model, Dibadj said. “It could be someone from a completely different background,” he said Jung’s successor also will inherit an internal probe into potential violations of the Foreign Corrupt Practices Act, which led to the firing of four executives over bribes to officials in China.

The U.S. Securities and Exchange Commission is also looking into the cosmetics company’s actions, Avon said in an Oct. 27 regulatory filing. It’s not as though Avon’s direct-selling model is broken, said Victoria Collin, an analyst at Atlantic Equities in London. While the strategy is increasingly irrelevant in the U.S., where sales growth has lagged, it remains effective in such emerging markets as China and Brazil, she said. Under Jung, Avon has boosted sales overseas by focusing more on small towns than big cities where rivals like Procter & Gamble Co. and Estee Lauder Cos. have concentrated.

Lower Prices Between 2005 and 2010, Avon ranked second after Colgate- Palmolive Co. in sales growth measured in local currencies and sells quality products at lower prices than comparable goods from L’Oreal SA and Revlon Inc., Maneaty said. “If you live in the provinces in China, you are more likely to encounter an Avon product than an Estee Lauder product,” Collin said. Avon should cut spending at home — or even exit the U.S. altogether — and put more resources into emerging nations, Dibadj says.

The company needs to attract a wealthier cohort of middle-class customers in China and Brazil, and doing so will require putting money and effort into creating a “cohesive global brand,” he said. “Invest less where you are mature, invest more where you’re not mature,” he said. Avon hasn’t “been effective on where they’ve been spending money.” Various restructurings, including a four-year plan announced in 2009 to eliminate 1,200 jobs and close plants in Ohio and Germany, have yet to pay off, Collin said. Power Vacuum While a power vacuum in the executive suite has prompted potential acquirers to take a run at companies in the past, Avon may be too big for a private-equity takeover, Dibadj said.

The company also would be hard to value because there’s “no clarity on what the free cash flow is,” he said. Strategic suitors also are unlikely because the direct- selling model would give them pause, Collin said. As executive chairman, Jung “will work really closely with the CEO and board on the overall strategic direction and brand position,” Jennifer Vargas, a company spokeswoman, said yesterday in an interview. Jung, who sits on the board of Apple Inc. and General Electric Co., remains an asset for Avon — and that’s why it makes sense for her to remain chairman, leaving the nuts-and- bolts operational tasks to someone else, Collin said. “They can keep Andrea as sort of the flagship face,” she said. “But they need to run the business divisions operationally much better.”

What advice do you have for someone just starting out with their “million dollar dreams?”

You need to have a mentor! Who is your personal coach! All professions have them you NEED to find one! Now be very coachable do what they do and don't question what they do! Focus on getting better a small percentage everyday you just need to get better don't compare yourself with any one!

Then don't quit! It took time to get good at your job, to be a good spouse or parent! I takes time to get a education and it takes time to get good at building a successful team with Gano Excel! I promise you it is WORTH IT!

There is a delicate balance between enjoying the time freedom that MLM provides you with, and working to keep enough momentum going to maintain your lifestyle.  Is that a correct assessment, and if so, how do you maintain that balance?

The key to balance is having a lot of fun! I heard years ago the second you fall in LOVE with what you do will be the second that you will no longer look at it as work!

Most people don't like what they do and don't have fun doing it! Again find a mentor that always is having fun and positive to be around! I am excited to get up every morning and help people all day I LOVE what I do!

Make sure the people you love the most are enrolled with your vision and dreams for them! They need to know what in it for them that way they support and cheer you on also let them know they are important all the people I LOVE know that and also know that if they need me they just have to say that and I will drop everything!

Evidently some top leaders in India left one company to join Mona Vie and distributors from the other company weren't too happy so they showed up at a Mona Vie meeting their former leaders were conducting and all hell broke loose.

According to Indian reporter Ankur Bakhshi:

The video is about Mr. Shamsudeen (Shansudin) a top leader who left Indian based MLM company RMP and joined Monavie. Mr. Shamsudeen started with RMP around 2001.

He was 1 of the top earners in RMP & guided RMP on their operations. With Monavie launching in India, he along with 4 other Top Earners left. The word is that these guys got some false cases registered against RMP by the Indian Govt, which led 2 temporary halt of RMP's working. And also got RMP's website hacked and put up a message aboutt Monavie.

RMP blocked out their IDs and the case by Andhra Pradesh govt came in. Shamsudeen meanwhile went ahead with promoting Monavie in Kerala, where RMP did a huge business and almost every person was in RMP. Some of the RMP distributors came, confronted & bashed up Shamsudin, just before a Monavie plan preview, for the unethical activities he & his team conducted in last few weeks.

Kevin Thompson – Top MLM Lawyer Interview

 
Recently, I had the privilege of interviewing top MLM lawyer, Kevin Thompson. Kevin is married to Sharon Elizabeth Thompson, the couple has 3 children and live in Franklin, Tennessee near Nashville (USA).
 
I first met Kevin before his keynote presentation at our Direct Selling Congress held in Amsterdam. I've maintained a close relationship with Kevin since the conference and I've sought his advice on numerous occasions.  I've found him very knowledgeable with MLM law and just enjoyable to work with.
 
Kevin specializes in providing legal services for startup network marketing organizations. Rapidly becoming one of the most influential people in the industry, Kevin Thompson has extensive experience and helps entrepreneurs launch their businesses on secure legal footing.
 
Kevin's entry into the industry is very unique as he was in-house counsel for Orrin Woodward's company, TEAM.  Orrin was one of Amway's top distributors and went through a bad divorce from them on his way to MonaVie.
 
During his time with TEAM, Kevin gained unique insights on the industry from a distributor perspective.  Based on his experience with both distributors and MLM companies, he understands the challenges of getting the company and its field to work together with a shared vision.
 
Kevin, how did you get involved in MLM Law?
 
I started my journey in the industry as an excited distributor.  Like a lot of others in the space, I started in Amway.  I was introduced to the business through a family member.  When I started in the business, I quickly realized the value of the business model.  I recognized it as a great win/win relationship between the company providing unique products and the distributors getting paid to sell them.
It's the only opportunity where the brand new participant, given the right platform, has a shot at dramatically changing his or her financial future with such a low cost of entry.  I began my steps as a MLM attorney when I accepted an offer from Orrin Woodward to serve as the in-house counsel for Team.
 
At the time, I was working at a law firm in Tennessee and looking for a change.  I saw Orrin's offer as a great opportunity to learn more about the industry and participate in solving interesting problems affecting the space.  Orrin would eventually cross blades with Amway, which exposed me to some amazing insights in litigation between distributors and their former companies.  I also got to work closely with both Amway's and MonaVie's compliance departments, which accelerated my education in MLM law.
 
What do you like most about serving MLM clients?  
 
I absolutely love their competitive spirit.  Entrepreneurs that want to start network marketing companies are all ambitious people passionate about their product or service.  They really want to change the world and they're convinced the network marketing model is the best way to do it.  I really enjoy hearing their stories, listening to their vision and sampling their cool products.  As a competitor, it's fun to be a part of their ambitious journey to realizing their dreams.
 
What are some of your experiences that make you well suited to serve clients in the industry?
 
I've been a competitor my entire life.  I can really identify a client's ambition to defy the odds.  In college, I competed in the decathlon, which is comprised of 10 different disciplines in track and field. In the end, I managed to earn all-American honors in a very competitive field.  In a way, starting a company is exactly like doing a decathlon.  There are emotional highs and lows and several skill sets required.  Strengths and weaknesses need to each be measured and handled.  The key is to have patience, long term vision and good success habits.  I really enjoy helping clients deal with the numerous challenges that go with launching a multilevel marketing business.
 
What is the state of the network marketing industry right now? 
 
The MLM profession is absolutely growing.  In my opinion, with the flood of information brought on by the internet and social media, traditional advertising is just less effective. Companies are looking for creative ways to market their products and network marketing is an option that makes sense. We'll also continue to see an uptick in the trend for startup MLMs due to the benefits plus the decreasing costs of starting one.
 
This is a great thing and a bad thing at the same time.  It's great because competition makes everyone sharp.  It's bad because there's a lot of companies launching with tragically flawed models due to minimal internal quality standards and external legal regulations.  In an effort to attract leaders, companies are making the mistake of doctoring up pay plans to heavily incentivize recruitment over product sales, which leads to a problematic sales culture.  
 
Unfortunately, this has led to the growth of pyramid schemes operating under the guise of network marketing, which harms the overall reputation.  The victims of such fraud walk away associating the fraud with network marketing and they hit the airwaves blasting the industry.
 
What are things the industry can do to increase its credibility in the mainstream marketplace?
 
As a profession, we need to find a way to increase quality standards at the company level.  While it's great for distributors to come together, network and discuss ways to elevate the profession, field behavior is largely driven by the contracts and incentives created by companies.  Until companies increase their standards, the behavior that leads to trouble will persist.
 
There's plenty of examples of great companies operating with a long term commitment for excellence. Those companies are dwarfed by companies looking to make a quick buck with some new age compensation model.  In my opinion, the strong companies should come together and push for increased standards whether by legislative means or by asking more of their trade associations.
 
The Direct Selling Association, the largest trade association of network marketing companies in the world, has a unique opportunity to lead this effort.  As a member of the Code of Ethics committee at the DSA, I think the effort can begin there.  The effort can also be led by fellow professionals in the space looking to start a certification program.  Len Clements has been a proponent for this idea since I've known him and I think it's a great one.
 
What does the future hold for the industry?
 
I'm very optimistic about the future.  I think the rate of growth will not only increase, but accelerate. I think we'll see new market segments test the MLM model as a legitimate means to distribute products.  Premium coffee will do well in 2012 as well as products in the weight loss category.  I'm also hearing rumblings about more celebrity involvement in 2012.  I'm optimistic that we, as a profession, will find ways to help prospects distinguish the good companies from the bad ones.
 
Unfortunately, I also think we'll see more litigation as the younger companies continue to poach the leadership base of the more established companies.  
 
Ted, I believe you've recently written about Melaleuca suing several ViSalus distributors.  We'll see more of the same over the coming years as distributors are constantly enticed with endless options.  In summary, the future is bright.  As with decathletes, we need to be honest with our strengths and weaknesses as an industry.  Thankfully, our strengths have more than made up the difference and pulled us in a positive direction.  With strong leadership, we can get even better and position ourselves to be a strong force in commerce.

How did you get in Network marketing?

Frank was a traditional and successful CEO for 24 years, as a turn-around specialist he helped save nine mid-to-large size corporations throughout his career. The challenge of taking companies that were failing and then re-capitalizing, re-marketing and re-structuring them presented a workload that was daunting, as some of the companies had up to 3,500 employees. Frank said he glaringly lacked something precious: “The most important commodity of all …time freedom, I had none and with 10 children, I needed a solution.”

Dear Max Executive Management Team:

It is with considerable sadness that after four years of pouring my heart and soul into Max, I am hereby submitting my immediate and simultaneous resignations from the Max Advisory Board, the Max Million Dollar Circle, and as a Max Triple Diamond Independent Associate. While the first year or so of Michelle and I’s journey with Max was a fulfilling and exciting rocket ride, the last three years have been extremely frustrating and draining as we have experienced a seemingly unstoppable deterioration of volume, team and personal income, momentum, field leadership, business enjoyment, and confidence and belief in the future, especially within our home base of the United States.

Over the past three years I have relentlessly and tenaciously done everything in my power to turn things around both in the field and from within the Max Advisory Board. In perhaps my ultimate attempt to turn the company around for the common good, I recently attempted a partial buyout of Max in conjunction with an elite athletic group that quiet possibly could have made network marketing history. Much to my chagrin, my best efforts on all these fronts have simply not been enough to stop the incessant backward slide, and the nonchalant dismissal of the buy out attempt by Max executives left me nothing short of bewildered.  

Further, the serious decrease in our matching bonus income due to the termination of Mike, Kaye and Laura Unclebach is a glaring deficiency in the compensation plan that cannot be tolerated either by us or other leaders in the company who may find themselves in a similar situation in the future. Accordingly, things have finally reached a low enough point for us, other team leaders, and other field leaders that as a matter of principle and personal integrity we simply can no longer personally endorse, participate in or promote the Max business. 

To close, despite the unfortunate circumstance of this resignation letter we do wish the best of success to any of the many friends we have in the Max field or corporate team who may chose to continue their journey with Max.  Godspeed!

Herbalife In Belgium Convicted For Pyramid Selling

Consumer organization TestPurchase has won the legal battle against the American company Herbalife, which the company sued because of pyramid selling.

Herbalife is a major player in Belgium in terms of sales of slimming products and food supplements. The sales system revolves around the Herbalife distributors, the company sells never directly to consumers.
 
Hierarchical conceived
The company draws its income primarily from the expansion of the hierarchical network of independent sellers conceived. The widespread distribution network includes more than one million distributors in Europe, America and Asia. The main purpose of that system itself is to recruit new distributors, which in the hierarchy of the system can be climbed. Selling products to end users is not a criterion, according to Test Purchasing.
 
Court
In 2004 the consumer went to court. Test Purchase indeed ruled that an illegal pyramid selling process and has received a legal battle after seven years of her right. The president of the Commercial Court in Brussels says that the Herbalife system is contrary to Articles 99 ° and 91.14 of the Law on Market Practices and Consumer Protection

Herbalife is now on appeal. The company reports that the sentence contains factual errors and is based on misinterpretations of the law and the sales model of the company. MICHAEL UNCLEBACH, an individual, SCOTT UNCLEBACH, an individual, KAYE UNCLEBACH, an individual, DARLENE UNCLEBACH, an individual, LAURA HUBBELL, an individual, and DOES 1-10 Defendants,

COMPLAINT (Jury Demanded) COMES NOW Plaintiff Max International, LLC, by and through counsel, Chad Shattuck of Tycksen & Shattuck, L.C., and herein complains against Defendants, Scott Unclebach, Michael Unclebach, Kaye Unclebach, Darlene UncIebach, Laura Hubbell, and Does 1-10, as follows: PARTIES

I. Plaintiff Max International, LLC (hereafter Max or Plaintiff'), is a Utah limited liability company with its principle place of business in Salt Lake City, Utah.

2. Defendant Michael Unclebach, is an individual residing in Frisco, Texas, who upon information and belief conducts business in Salt Lake County.

3. Defendant Scott Unclebach, is an individual residing in Frisco, Texas, who upon information and belief conducts business in Salt Lake County.

4. Defendant Kaye UncJebach (hereafter referred to jointly with her husband Michael as Michael Unclebach is an individual residing in Frisco, Texas, who upon information and belief conducts business in Salt Lake County.

5. Defendant Darlene Unclebach (hereafter referred to jointly with her husband Scott as (Scott Unclebach), is an individual residing in Frisco, Texas, who upon information and belief conducts business in Salt Lake County.

6. Defendant Laura Hubbell (hereafter Hubbell), is an individual residing in Frisco, Texas, who upon information and belief conducts business in Salt Lake County.

7. Does 1-10 are individuals and or entities affiliated with the Defendants that were involved in the tortious actions described herein, whose identity is as of yet unknown. Max reserves the right to amend to name any such discovered individuals hereafter.

JURISDICTION AND VENUE

1 The plural term 'Unclebachs' shall be used hereafter to refer to effort and actions undertaken by Michael Unclebach and Scott Uncle bach, who upon information and belief worked jointly with the assistance of Hubbell to reap the benefit of simultaneously operating a Max distributorship and a Regeneca distributorship.

8. This Court has jurisdiction over the subject matter of this Complaint pursuant to Utah Code Ann. §78A-5-102.

9. Venue is proper in this court pursuant to Utah Code Ann. §78B-3-307.

10. Does 1-10 are individuals and/or entities whose identity is not yet known. Plaintiff reserves the right to name such individuals and/or entities as they become known. (All of the Defendants, including the Doe Defendants, may be referred to hereinafter jointly as Defendants).

GENERAL ALLEGATIONS

II. Max is a direct sales company that markets through Independent Associates (or distributors) engaged in the business of making and selling high-quality nutritional supplements and personal care products.

12. Max markets its products principally by way of a network marketing or Multi-Level Marketing Plan, (MLM). (For purposes of this Complaint the terms network marketing and MLM are used interchangeably).

13. As a network marketing company, Max enters into distributor agreements with independent business owners, also referred to as Associates and/or distributors.

14. An individual or entity may only sell Max products after entering into a contractual relationship with Max, and becoming a Max Associate and licensee of a Max distributorship.

15. In general terms, a Max Associate earns monthly commissions based in part on hislher own sales activity and the sales activity of his/her downline distributors.

16. As part of the Max Associate agreement, Max Associates agree to be bound by the Max Policies and Procedures (hereafter P&Ps). A copy of the Max P&Ps are attached hereto as Exhibit 1.

17. Max's marketing plan encourages Associates to recruit new distributors and to develop and lead an organization of distributors, commonly referred to as a downline or network.

18. Max compensates its Associates pursuant to its Compensation Plan, which is based on the purchase volume from each Associate and hislher downline network, which is based on product orders for consumption and retail sale.

19. The contractual relationship with Max must be renewed by the associate annually pursuant to §2.4 of the P&Ps.

20. Michael Unclebach became a licensee of Max distributorship # 29821 on or about December 14,2007.

21. As a Max Associate, Michael Unclebach entered into a binding contract with Max, his Max Associate Application and Agreement, which by reference incorporated in their entirety the Max Policies and Procedures (hereafter P&Ps). Thus as a licensee of a Max distributorship, Michael Unclebach was bound by the terms of Max's P&P's as incorporated by the Max Associate Application and Agreement.

22. By operating a Max distributorship from December 2007 up through November 2011, Michael Unclebach agreed to be bound by the Max P&Ps.

23. Pursuant to §2.4 of the P&Ps, Michael Unclebach renewed his commitment to be bound by the Max P&Ps annually by renewing his Max business with Max.

24. Scott Unclebach became a licensee of Max distributorship # 30324 on or about December 19,2007.

25. As a Max Associate, Scott Unccebach entered into a binding contract with Max, his Max Associate Application and Agreement, which by reference incorporated in their entirety the Max Policies and Procedures (hereafter P&Ps). Thus as a licensee of a Max distributorship, Scott Unclebach was bound by the terms of Max's P&Ps as incorporated by the Max Associate Application and Agreement.

26. By operating a Max distributorship from December 2007 up through November 2011, Scott Unclebach agreed to be bound by the Max P&Ps.

27. Pursuant to §2.4 ofthe P&Ps, Scott Unclebach renewed his commitment to be bound by the Max P&Ps annually by renewing his Max business with Max.

28. On or about March 25, 2011, Scott Unclebach transferred his Max Associate position to Hubbell.

29. Defendant Hubbell became a licensee of Max distributorship #30648 on or about December 25, 2007, and later acquired the distributorship of Scott Unclebach (account #30324 on March 25, 20 II).

30. As a Max Associate, Hubbell entered into a binding contract with Max, her Max Associate Application and Agreement, which by reference incorporated in their entirety the Max P&Ps. Thus as a licensee of a Max distributorship, Hubbell was bound by the
terms of Max's P&Ps as incorporated by the Max Associate Application and Agreement.

31. By operating her distributorship from December 2007 up through November 2011, Hubbell agreed to be bound by the Max P&Ps.

32. Pursuant to §2.4 of the P&Ps, Hubbell renewed her commitment to be bound by the Max P&Ps annually by renewing her Max business with Max.

33. Max P&Ps § 3.9.1 reads:

3.9.1 – Nonsolicitation Max Associates are free to participate in other multilevel or network marketing business ventures or marketing opportunities (collectively network marketing). However, during the term of this Agreement, Associates may not directly or indirectly recruit other Max Associates or Customers for any other network marketing business. Following the cancellation of an Associate's Independent Associate Agreement, and for a period of six calendar months thereafter, with the exception of those Associates who are personally sponsored by the former Associate, a former Associate may not Recruit any Max Associate or Customer for another network marketing business. Associates and the Company recognize that because network marketing is conducted through networks of independent contractors dispersed across the entire United States and internationally, and business is commonly conducted via the internet and telephone, an effort to narrowly limit the geographic scope of this non-solicitation provision would render it wholly ineffective.

Therefore, Associates and Max agree that this nonsolicitation provision shall apply to all markets in which Max conducts business. The term Recruit means the actual or attempted sponsorship, solicitation, enrollment, encouragement, or effort to influence in any other way, either directly, indirectly, or through a third party, another v Associate or Customer to enroll or participate in another multilevel marketing, network marketing or direct sales opportunity.

34. The Max P&Ps §3.9.4 reads: 3.9.4 – Downline Activity (Genealogy) Reports Max may, in its discretion, provide Associates with a downline genealogy report in conjunction with an Associate's replicated website. Access to a genealogy report is a privilege, and not a right. Max reserves the right to deny Associates' access to a genealogy report at its sole discretion. All Downline Activity Reports and the information contained therein are confidential and constitute proprietary information and business trade
secrets belonging to Max. Downline Activity Reports are provided to Associates in strictest confidence and are made available to Associates for the sole purpose of assisting Associates in working with their respective Downline Organizations in the development of their Max business.

Associates should use their Downline Activity Reports to assist, motivate, and train their downline Associates. The Associate and Max agree that, but for this agreement of confidentiality and nondisclosure, Max would not provide Downline Activity Reports to the Associate. Therefore, if a Downline Activity Report is provided to an Associate, the Associate shall not, on his or her own behalf, or on behalf of any other person, [partnership, association, corporation or other entity:

• Directly or indirectly disclose any information contained in any Downline Activity Report to any third party;

• Directly or indirectly disclose the password or other access code to his or her Downline Activity Report;

• Use the information to compete with Max or for any purpose other than promoting his or her Max business;

• Recruit or solicit any Associate or Customer of Max listed on any report, or in any manner attempt to influence or induce any Associate or Customer of Max, to alter their business relationship with Max;

• Use or disclose to any person, partnership, association, corporation, or other entity any information contained in any Downline Activity Report; or

• Upon demand by the Company, any current or former Associate will return the original and all copies of Downline Activity Reports to the Company.

35. The Unclebachs and Hubbell have engaged in conduct violative of Max P&Ps §3.9.1, and other sections by actively soliciting, and aiding in the solicitation of current Max Associates to commence a business relationship with other network marketing companies including, but not limited to Regeneca, Inc., and Enhance, IntI.

36. Upon receiving sufficient information verifYing the joint efforts of the Unclebachs and Hubbell to solicit Max Associates to join Regeneca in contravention of the P&Ps, Max terminated the accounts belonging to both Michael Unclebach and Hubbell on or about November 9, 20 II, pursuant to §8.1 of the Max P&Ps.

37. As a result of the joint efforts of Hubbell and the Unclebachs, many Max Associates have signed up with Regeneca, abandoned their efforts to build their Max distributorships and as a result, Max has been injured.

38. Upon information and belief, Scott Unc1ebach, Michael Unclebach, and/or Hubbell, have informed third parties that their distributorships were terminated without cause, which is false, and which negatively disparages Max, resulting in harm to Max's reputation.

39. The Max P&Ps, §3.6.1, reads: 3.6 – Unauthorized Claims and Action 3.6.1 – Indemnification An Associate is fully responsible for all of his or her verbal and written statements made regarding Max products, services, and the Marketing and Compensation Plan which are not expressly contained in official Max materials. Associates agree to indemnifY Max and Max's directors, officers, employees, and agents, and hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court costs, or lost business incurred by Max as a result of the Associate's unauthorized representations or actions. This provision shall survive the termination of the Associate Agreement.

FIRST CAUSE OF ACTION (Declaratory Judgment Against Michael and Kaye Unclebach and Does 1-10)

40. Plaintiffre-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

41. Michael and Kaye's Unclebach's Max Associate Agreement(s) and the Max P&Ps constitute a binding contract.

42. Michael Unclebach (and implicitly Kaye) breached the Associate Agreement and the P&Ps by, among other things, soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps.

43. Michael Unclebach's breach of the Agreement and P&Ps constituted cause for Max to terminate his account (the distributorship posiiion held by Michael and Kaye) with Max.

44. An actual and justiciable controversy exists as to whether Max's termination of Michael and Kaye Unccebach's Associate account was proper.

45. Max is entitled to ajudicial declaration that: a. Michael Unclebach breached his Associate Agreement and P&Ps before Max terminated his account (the distributorship position held by Michael and Kaye). b. Michael Unclebach's breach ofthe Associate Agreement and P&Ps constituted cause under the agreement for Max to terminate his account (held jointly with his wife Kaye). c. Max had good cause under the Agreement to terminate the account held by Michael and Kaye Unclebach. d. Max did not breach Michael Unclebach's Agreement by terminating the account belonging to he and his wife. e. Michael and Kaye Unclebach are not entitled to any compensation under their Associate Agreement and/or the P&Ps as of the date Michael first violated the same. f. Michael and Kaye Unclebach are not entitled to any compensation under their Associate Agreement and/or the P&Ps as of the date Max ceased making payments.

SECOND CAUSE OF ACTION (Declaratory Judgment Against Laura Hubbell and Does 1-10)

46. Plaintiffre-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

47. Laura Hubbell's Max Associate Agreement and the Max P&Ps constitute a binding contract.

48. Hubbell breached the Associate Agreement and the P&Ps by, among other things, soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps.

49. Hubbell's beach of the Agreement and P&Ps constituted cause for Max to terminate his account (his distributorship) with Max.50. An actual and justiciable controversy exists as to whether Max's termination of Hubbell's Associate Agreement was proper.

51. Max is entitled to a judicial declaration that: a. Hubbell breached her Associate Agreement and P&Ps before Max terminated his account (his distributorship). b. Hubbell's breach of the Associate Agreement and P&Ps constituted cause under the agreement for Max to terminate her account. c. Max had good cause under the Agreement to terminate Hubbell's account. d. Max did not breach Hubbell's Agreement by terminating her account. e. Hubbell is not entitled to any compensation under her Associate Agreement and/or the P&Ps as of the date she first violated the same. f. Hubbell is not entitled to any compensation under her Associate Agreement and or the P&Ps as of the date Max ceased making payments.

THIRD CAUSE OF ACTION (Breach of Contract against Michael Unclebach and Does 1-10)

52. Plaintiff re-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

53. Michael Unclebach breached the Associate Agreement and the Max P&Ps by, among other things, soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps.

54. Prior to terminating Michael Unclebach's Account for breach of the agreement, Max performed all of its obligations under the contract.

55. As a result of Michael Unclebach's breach of the Agreement, Max has been damaged by, among other things his soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps. As a direct and proximate result of Michael Unclebach's breach, Plaintiff has been damaged in an amount to be proven at trial, but no less than $100,000.00, plus attorneys fees pursuant to contract, costs and interest thereon as allowed by law.

FOURTH CAUSE OF ACTION (Breach of Contract against LAURA HUBBELL and Does 1-10)

56. Plaintiff re-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

57. Laura Hubbell breached the Associate Agreement and the Max P&Ps by, among other things, soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps.

58. Prior to terminating Laura Hubbell's Account for breach of the agreement, Max performed all of its obligations under the contract.

59. As a result of Laura Hubbell's breach of the Agreement, Max has been damaged by, among other things his soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps. As a direct and proximate result of Laura Hubbell's breach, Plaintiff has been datnaged in an amount to be proven at trial, but no less than $100,000.00, plus attorneys fees pursuant to contract, costs and interest thereon as allowed by law.

FIFTH CAUSE OF ACTION (Breach of Contract against Scott Unclebach and Does 1-10)

60. Plaintiff re-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

61. Scott Unclebach breached the Associate Agreement and the Max P&Ps by, among other things, soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps.

62. Prior to Scott Unclebach resignation from Max, and subsequent thereto, Max performed all of its obligations under the contract.

63. As a result of Scott Unclebach's breach of the Agreement, Max has been damaged by, among other things his soliciting Max associates to join Regeneca, and disclosing Max confidential information to third parties in contravention of the Max P&Ps. As a direct and proximate result of Scott Unclebach's breach, Plaintiff has been damaged in an amount to be proven at trial, but no less than $100,000.00, plus attorneys fees pursuant to contract, costs and interest thereon as allowed by law.

SIXTH CAUSE OF ACTION (Misappropriation of Trade Secrets – Against All Defendants and Does 1-10)

64. Plaintiffre-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

65. Max has trade secrets of which it enjoys an advantage over its existing and future competitors. Such trade secrets include, among other things, Max's associate lists. Max's trade secrets derive economic value from their not being generally known to the
public or to other persons who can obtain economic value from their disclosure.

66. Max has made reasonable efforts under the circumstances to preserve the confidentiality of its trade secrets, including, but not limited to requiring that Max associates maintain the confidentiality of Max's proprietary information.

67. Defendants were under a duty to keep Max's proprietary and confidential information secret, and not to use or disclose such information.

68. Despite their duty to maintain the confidentiality of Max's trade secrets, Defendants disclosed Max's proprietary and confidential information to third parties for the purpose of promoting Regeneca.

69. The Defendants' acts were willful and malicious, thereby entitling Max to an award of punitive damages and attorneys fees against Defendants.

70. Max has been damaged as a result of Defendants' conduct in an amount to be proven at trial, but no less than $100,000.00

SEVENTH CAUSE OF ACTION (Tortious Interference With Contractual Relations – Against All Defendants, Does 1-10)

71. Plaintiff fe-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

72. Max had existing contractual relationships with, among others, its Max Associates. Defendants knew of Max's contractual relationship with its other Associates.

73. Defendants' conduct as described herein was a tortious interference with Max's contractual relationships with its then-existing Associates. Defendants acted with the intention to interfere with Max's contractual relationship with several of Max's Associates.

74. As a result of Defendants' actions, one or more Max Associates ceased actively building his/her distributorship with Max, which has caused damage to Max. Plaintiff has been damaged in an amount to be proven at trial, but no less than $100,000.00.

75. Max has made reasonable efforts under the circumstances to preserve the confidentiality of its trade secrets, including, but not limited to requiring that Max associates maintain the confidentiality of Max's proprietary information.

76. Defendants were under a duty to keep Max's proprietary and confidential information secret, and not to use or disclose such information.

77. Despite their duty to maintain the confidentiality of Max's trade secrets, Defendants disclosed Max's proprietary and confidential information to third parties for the purpose of promoting Regeneca.

78. The Defendants' acts were willful and malicious, thereby entitling Max to an award of punitive damages and attorneys fees against Defendants.

EIGHTH CAUSE OF ACTION (Unjust Enrichment – Against All Defendants, Does 1-10)

79. Plaintiff re-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

80. The Defendants received and retained commissions from Max while actively violating their Associate Agreements and the Max P&Ps.

81. The Defendants each received a financial benefit from Max and appreciated such over the span of several months.

82. Defendants have been unjustly enriched by retaining commissions to which they were not entitled because they were actively violating the P&Ps, adherence to which was an implicit, and/or explicit condition precedent to receiving any commissions.

83. Under the circumstances it would be inequitable to allow the Defendants to retain the past commissions they wrongfully received from Max while knowingly violating the Nonsolicitation provisiori of the Max P&Ps.

84. Plaintiffis entitled to a judgment against each of the Defendants individually to the extent that each received a commissions from Max to which he/she was not entitled, in an amount to be determined at trial.

EIGHTH CAUSE OF ACTION (Attorneys Fees Costs – Against All Defendants, Does 1-10)

85. Plaintiff re-alleges each of the allegations contained in the preceding paragraphs as if fully set forth herein.

86. The Defendants' Associate Agreements and Max P&Ps provide that an Associate (including former Associates), shall be liable to indemnify Max for any and all liability, including, but not limited to attorneys fees and costs resulting from unauthorized action.

87. Defendants' conduct as described herein unauthorized, and thus triggers the indemnification clause of the contract.

88. Max is entitled to an award of its attorney's fees and costs incurred in this action pursuant to contract, and also pursuant to Utah Code §78B-5-825 and/or §78B-S-826.

PRAYER FOR RELIEF WHEREFORE, Plaintiff demands judgment against Defendants on their Complaint as follows:

I. On the First Cause of Action for a judicial declaration against Michael and Kaye Hubble that: a. Michael Unclebach breached his Associate Agreement and P&Ps before Max
terminated his account (the distributorship position held by Michael and Kaye). b. Michael Unciebach's breach of the Associate Agreement and P&Ps constituted cause under the agreement for Max to terminate his account (held jointly with his wife Kaye). c. Max had good cause under the Agreement to terminate the account held by Michael and Kaye Unclebach. d. Max did not breach Michael Unclebach's Agreement by terminating the account belonging to he and his wife. e. Michael and Kaye Unclebach are not entitled to any compensation under their Associate Agreement and/or the P&Ps as of the date Michael first violated the same. f. Michael and Kaye Unclebach are not entitled to any compensation under their Associate Agreement and/or the P&Ps as of the date Max ceased making payments

2. On the Second Cause of Action for a judicial declaration against Laura Hubbell that: a. Hubbell breached her Associate Agreement and P&Ps before Max terminated his account (his distributorship). b. Hubbell's breach of the Associate Agreement and P&Ps constituted cause under the agreement for Max to terminate her account. c. Max had good cause under the Agreement to terminate Hubbell's account. d. Max did not breach Hubbell's Agreement by terminating her account. e. Hubbeli is not entitled to any compensation under her Associate Agreement and/or the P&Ps as of the date she first violated the same. f. Hubbell is not entitled to any compensation under her Associate Agreement and/or the P&Ps as of the date Max ceased making payments.

3. On the Third Cause of Action for Breach of Contract against Michael Unclebach for damages, to be proven at trial, but no less than $100,000.00, and for costs, attorney's fees and interest as allowed by law.

Melaleuca filed a lawsuit in the USA in the state of Idaho against 10 small former distributors who sign up for ViSalus.

In my point of view this has nothing to do with those sued distributors, this is Melaleuca versus ViSalus.

Not Melaleuca against low level distributors who wish to leave Melaleuca for an other opportunity.

A black eye for the Direct Selling industry… I am calling upon Melaleuca to take this case down, as it hurts the entire Direct Selling Industry.

Glen Jensen – Agel Founder Interview

Glen Jensen is founder of Agel Enterprises and its largest single share holder. He is married to Kathy Fowler, the Jensen family is living in Highland, Utah, USA. Glen and Kathy have 3 daughters Brittany, Kaitlyn and Krisha, and two sons, Alec and Justin.

Glen started his corporate career as a customer service agent at Nu Skin in 1989 where he gained great experience in the Direct Sales Industry. Glen later worked as one of three Americans at a multi-billion pharmaceutical company in Japan.

Glen, how did you got involved in MLM?

I was living in Japan where I did volunteer work and when I came back in to the USA, my cousin asked me to work for Nu Skin, a company I never heard of.  In 1989, Nu Skin was very small and I started as a customer service agent.  At that time there were only 8 people in customer service and we were located in a little building in Provo, Utah, USA .

Shortly after starting at NuSkin, the company started to grow rapidly and soon I became Supervisor of the Customer Service department.  I worked full time at NuSkin and also went to university full time while getting my University degree.  Upon graduation, I moved back to Japan with my wife Kathy, and started working for a multi- billion dollar pharmaceutical company in the new product research and development department. My wife was 7 months pregnant when we moved to Japan and did not speak the language, know the culture or have any friends nearby. 

She told me that she wanted to go back to the USA, with or without me. Obviously I choose to go back with her. Upon returning to the US, I was hired as the International Director for Neways, where I opened the Japanese and Russian markets in 1993.

What was the first company you started?

I finally decided to start my own company – Synergy Worldwide – in 1999. Under my leadership, Synergy was recognized as the 8th fastest growing new business in America.

It grew so fast, I ended up selling the company to Nature's Sunshine in 2000 but remained as Founder and President of the company for the next few years. Then I stepped away from the industry for a time, but realized this was an industry that I loved and started to plan my return.

How did you get back to the industry you love?

I heard about an amazing fruit growing in the Amazon; the Acai Berry and developed a juice formula from the Acai Berry. Initially I took this unique concept to Synergy but they said No.

Later I met Dallin Larsen, at that time he was President of Monarch, and told him my story. Dallin decided to start a new company around the Acai Berry called Monavie using the product and marketing story that I brought to him. 

At the end of 2004, a flash of genius late in the evening gave me the idea of “Gelceuticals” and that was the birth of Agel and my sole focus on the growth and development of that company.

Why did you step down as CEO of Agel Enterprises?

I did not step down, it was a hostile takeover.

The growth and success of Agel was truly amazing.  A Venture Capital company took a minority share in 2005 to finance the amazing growth. (Venture capital is financial capital provided to early stage, high potential, high risk, growth startup companies by investors.) In June 2007 I paid them 100% back.

However Agel continued to grow fast from $8 million per month in August to $12.5 million in September 2007, basically growing from $100 million to $150 million a year with all signs of even higher growth figures.

So I teamed back up again with the Venture Capital (VC) Company. They wanted me to slow down the growth of Agel, which in my opinion, was a very bad decision. The problem with these Venture capitalists is that they have minimal understanding of the Network Marketing Industry and did not understand how precious momentum is.

They insisted on, and demanded control. Until that point, I was in control, but now the VC controlled 2 of 3 Board seats and my ownership units were dropped below 50%.  In late 2010 the VC insisted on closing 12 countries with $47 million in revenue.

I could not accept this, so the VC decided to replace me. We are still in a legal battle over this decision. In my opinion nowadays the management of Agel Enterprises lacks vision and direction, which saddens me considering what it could have been.

I understand you will be back with a new MLM company?

Yes, it will be something very different, both in product and in compensation plan.  The idea of this new company will unequivocally change direct sales as we know it. It will launch in the first quarter of 2012 in multiple countries around the globe.

Who have been your mentors?

I do not have a mentor, I like to improve and change concepts and develop different ways of doing things that most companies simply accept as normal. I have been able to innovate and improve many components of the companies that I have worked with; Neways- Synergy — Monavie — Agel

What would be your advice to a MLM newbie in general.

My advice is to keep it simple, remember:  It does not work, if it does not duplicate!

The Malaysian company Acai Berry Products Marketing Pte Ltd of Malaysia is the owner of the MonaVie License for China and wish to sell this License for $5 million.

We  have  introduced  several  “Positive  Changes”  in  the  business from November 1st that would further fuel our growth & offer a safer future for our  ABOs.  These revisions have been accepted very well by leadership all around.

With  growth,  we  also attract attention of various entities. Some  senior  leaders  in the Amway India business have had certain issues with  Amway  India  in  the recent past, for which the company had to take deterrent  action  against them due to violations in the Rules of Conduct. As  you  know, Amway is very fair in dealing with any & all types of Rules Violations  and  did  not  hesitate  to  take the necessary action for the violations  made,  despite  the pin level & status of the leaders. We  have  been informed, that certain ABOs holding very high pin levels in the Amway India business have been persuaded by this company to join them. We have received several complaints in the recent weeks that some of these leaders  have been enticing their LOS’s and some crossline LOS’s (possibly yours  too) join this company. We strongly believe that these senior Amway leaders have been enticed with some amount of money to shift their loyalty to  them  and  bring  in  as many ABOs from Amway as possible. These Amway Leaders  are  conducting meetings in several cities across in India trying to  promote  this  new  company by spreading several rumours against Amway like

  • Amway is changing its business model and will open retail shops – this  will kill the opportunity for ABOs
  • Amway has sold its Nutrilite farms
  • Amway Founders have sold their stake in the company
  • Amway India will close down in another two years.
  • Some senior official(s) from Amway are joining this company
  • It is OK to do the Amway business & the “other” business while promoting  the same within your LOS and in crossline organizations.

ACTIONS TAKEN TO PROTECT THE BUSINESS & ABO’s

Show Cause notices have been sent to these Senior leaders who have been  found to be enticing Amway ABOs to join this new company.  They have been declared as “Not in Good Standing with Amway”.  A full-fledged investigation is on against the activities of these  senior leaders.  The downline Platinums of these Senior leaders have been advised of  their upline activities  Silver Producer & above meetings are being conducted in all the  affected states to explain the real facts of the situation.  All discretionary benefits have been withheld for these ABO’s.   Their access to all internal systems has been blocked.

It  is  with  great  pride  that  we share that 99% of the leadership have re-iterated  their  belief,  faith  &  loyalty  in  Amway,  its  values  & principles.  I  would  like  to  clarify  that all rumours spread by these
Senior  Leaders  about  the  future about Amway are false & misleading and made  with  the  intent  to entice more ABOs to join the new company, from where,  we  believe, they have a lot to gain in monetary terms for getting more  people  to  join  the company. Amway has never in it’s rich 52 years history  changed  it’s  operating  model  nor will ever do so in future. I would  also  like  to  re-iterate  that  Amway  will  not hesitate to take appropriate  action on any ABO found enticing another Amway ABO(s) to join this  company,  which may include immediate suspension & withdrawal of all discretionary  benefits,  because they will no longer be “In Good Standing with Amway”

WHAT WE EXPECT YOU TO DO IN THIS SITUATION

  • Brief the leaders in your teams about the situation.
  • Ensure that ABOs in your LOS are not distracted by news about this new  company
  • Even if there has been no enticement in your LOS, you may alert the  leadership to insulate their downlines from possible enticement
  • No ABO should be over-whelmed by the stature of the Amway leaders who are telling Amway ABOs to shift to this new company
  • Report any enticement or any other activity related to this new company to your Business Development Manager

I  wish  to re-iterate that Amway, its Founders, the management in India & U.S..  stands  fully  & strongly behinds our Founding principles, values & ethics. Amway versus MonaVie in India

A significant number of unhappy distributors is leaving Amway India which might make a notable dent on the revenue of the direct marketing company's operations in the country. During the first phase of the exodus, around 40,000 distributors are estimated to leave within the coming four weeks to join MonaVie, another direct marketing company specialised in health juices, and this may cause a revenue loss of Rs 200 crore ($50 million) to Amway.

The discontented lot of 15 prominent distributors across the country has decided to leave Amway and they are taking along with them a network of smaller distributors called 'downline', developed over a period of 13 years of Amway's operations in India.

Sajeev Nair, one of the pioneering distributors of Amway in the country and who earned Rs 1.5 crore last year ($375,000)  from marketing the company's products, says that over the last five years, distributors have become unhappy, because 'they were not able to achieve their dreams – implying that the income from the sale of products didn't grow over the years. For those who have taken it up as part-time job, there was no problem, but as a full-time job, the returns are low. Earlier, we used to get highly qualified professionals like doctors and software engineers, but recently, the quality of the distributors has gone down considerably, says Nair.

Some of the distributors were miffed at the fact that Amway was shifting its focus from the distributor network towards the showrooms. S P Bharil, based at Jaipur says, Amway was a people-based company, but has slowly become a product-based company, but MonaVie is a people-based company and its growth rate is higher than that of Amway.

Ravi Jain, one of the major distributors of the company in Rajasthan with a turnover of Rs 97 crore, ($24 million) says, Seventy per cent of my distributor network will be leaving Amway with me. He believes that the first phase of exodus will happen within November, and that Amway will eventually lose one lakh active distributors in the coming months.

Amway's offices in Kerala were recently searched by the state police and the distributors were unhappy about the way the company handled the issue. Sources say that the company's warehouse in Kochi may be relocated soon.

S Viswanath, head of corporate communications at Amway India, says that he has noticed an exodus of distributors to MonaVie.

Who have been your mentors?

There have been so many mentors and personalities that have inspired me during the last 6 years, so it would be almost impossible to mention them all. Some mentors have inspired me live and some through their materials, especially audio tools and books. It seems to me that I have learned much more about life in the last few years than I had in the first 30 years of my life. Even though I attended one of the best universities in the world (Oxford University) and studied hard to achieve my PhD, I had never before been exposed to the world of personal development.

I studied and listened endlessly to great authors like Brian Tracy, Jim Rohn, Anthony Robbins and especially, Jerry “the Rhino” Clark, who has become a close friend in the last few years. I was also fortunate to have many inspiring mentors in the network marketing arena in real life. In our current company we have great leadership in every country, but the person that has become a great mentor and friend is our CEO, Terry LaCore. Why did you decide to join forces with bHIP Global?

We joined bHIP in June 2008 after a couple of months of research and evaluating the company. After three and a half years with the company, I can honestly say it has been the best business decision we ever made.  We joined bHIP because we saw a strong leadership team, led by Terry LaCore, together with an inspiring idea of taking a $1 instantly gratifying product to a global market. bHIP has a very solid and experienced management team, infra-structure and distribution to 40+ markets just after a few years in business and of course we saw a compensation plan that we believed would work for different types of distributors, both experienced leaders and first time newbies.

What is your recruitment strategy?

When we started with bHIP, our list was only about 250 people, so we simply decided to speak to everyone we come in contact with, both in a three foot rule and online. We didn’t know many leaders in the MLM industry and initially we recruited about 50 people ourselves. We continue recruiting on a daily basis as we believe in leading by example, so you will often see me speaking to a stranger in a country where we are traveling and expanding the business.

I am always looking for ambitious young people who want to make a difference. My focus in the last 6 months has turned to younger generation, under 30, because no matter in which country I speak with young people I always see the lack of future options as a main reason for them to start with bHIP. If we join forces, we can change the future.

Which countries do you think will have great growth in the near future?

I think network marketing is going to have a great future everywhere around the globe, but it is now finally come to countries that had previously not seen these opportunities. I believe the growth that we are seeing in Asia is set to continue with a higher growth factor and soon, we will see companies opening more African markets.

Also, Eastern Europe and Latin America is set to make incredible expansion in our industry in the near future. Personally I focusing in the Australia-Asia-Pacific region, where more than 1/3 of the world population is extremely hungry for opportunities.

Do you still get rejection at your level? How do you handle it?

Of course we still get rejected and we believe that it is one of the keys to be successful in this business. The more rejection you are willing to receive, the more successful you will become. It simply means that you have exposed and shared your opportunity with the most people. I understand people reject the opportunity you offer, they don’t reject me, so I just keep sorting and looking for diamonds in the making.

What would be your advise for an MLM newbie?

My advice to a new person starting in this fantastic and exciting industry would be the following:

  • Choose the right mentor, who is experiencing the results you are currently seeking in your life.
  • Be teachable. Make the decision to become the best student you can be.
  • Carefully choose the opportunity, a company with a vision and a solid global infrastructure and proper funding.
  • Success is a journey, enjoy everyday and every minute you spend doing this business and make sure you commit to completing at least 10,000 hours before making a decision whether this is for you or not. Studies have shown that you can master any skill by practicing it at least 10,000 hours.

Richard B. Brooke is one of the servant leaders in the Direct Selling Industry in the USA and a 35-year veteran of the Network Marketing profession. Richard boasts a successful career as both a full-time Network Marketing sales leader and corporate executive since 1977. In March 1992 SUCCESS Magazine did the first ever positive feature article on the network marketing industry in a major publication. That issue featured Richard on the cover. He was also nominated as Inc. Magazine's Entrepreneur of the Year.

He is a former member of the Direct Selling Association (DSA) Board of Directors and serves as a senior member of the Ethics Committee, as well. He started as a distributor and became founder, owner and Chief Visionary Officer of USA based Direct Selling Company Lifeshotz  founded in 2010 and owns Oxyfresh founded in 1984.

Richard is known for his United We Stand, Divided We Fall: – The Future of Network Marketing –  Philosophy.

Richard B. Brooke grew up on a cattle ranch in central California. After high school, Richard pumped gas at Pearson’s Arco at the corner of G and Olive streets. He lived at the gas station in his camper. After failing to lock the front door of the gas station two nights in a row, he was fired and went to work for Foster Farms, the largest poultry processing plant in the world.  It was a union job that paid $3.05 an hour, complete with benefits, seniority, vacation, and best of all—retirement. Richard cut chickens into parts as they flew past him on the production line.

Having established gainful employment at the age of 22, Richard fully expected to spend the next forty years of his life working at the chicken plant, building seniority (POWER), vacation time (FUN), and clicking off the years to retirement (FREEDOM). Then a friend introduced Richard to a business model (AmPro Marketing) that promised fun, freedom and (as he would later describe it) a life beyond money. Stepping in to a new way of  thinking and working required a huge change in perspective. Richard had to believe that he was both capable and deserving of success, and then relentlessly pursue a  new direction in his life. With the help of friends, mentors and coaches, he did just that.

Richard made his first million before the age of 30, advancing to the top sales-leader position in AmPro Marketing a $60 million Network Marketing organization made up of more than  200,000 sales people. At age 28, he became the Executive Vice President of that company.

Richard, in which companies have you been involved as a distributor?

American Professional Marketing based in Oklahoma City, OK. We sold Mixigo fuel conditioners made by Bell Labs 1977-1986 and Oxyfresh 1986 to current.

How did you got the idea to start your own business?

I did not start Oxyfresh.  I was hired by Oxyfresh as a consultant in 1986, later become the CEO and later become the majority owner. There are 220 owners – mostly sales leaders and employees.

Who have been your mentors or inspirators?

Kurt Robb, Napoleon Hill, Dale Carnegie, Charlie Orr, Harry Hersey, Rich Devos, Art Williams.

Richard, what are your core values from a helicopter view for the Direct Selling Industry?

We need to lock arms in mutual respect, choose our partners and build an industry, a business paradigm and a way of life that can never be voted out of existence. We can only do that with ethical, legal and moral success.

Richard, can you explain this values?

The history of our industry has been wild, fun, profitable and heartbreaking. We have grown 19 out of the last 20 years. And we could have done so much more.We could have avoided so much bad press; so many regulatory actions and
so many dreams destroyed. We could have shifted the paradigm by now… the “tipping point” if you will.We need to tap our core values of contribution, respect, love, friendship, honor and integrity… and avoid our attachments to greed, recognition,
dominance and control.

How do you see Network Marketing?

Network Marketing, or Multi-Level Marketing, is NOT what some people like to call “just a compensation plan.” We are an unique community within the Direct Selling Industry. We are a community and culture of building empires of multiple levels of sales representatives, on which we expect to be paid forever. We are not looking for another sales job. We have had those.

The shared vision of Network Marketers could be this: To bring a new paradigm of abundance and wealth building into existence so that most people…

  • Understand how and why Network Marketing could work for them.
  • Admire and respect those who succeed,just as they admire those who succeed in equities, real estate and small business.
  • Trust the business model based on our ethics, our candor, our commitment to build trust and respect.
  • And have one primary Network Marketing business, in which they are building residual income.

Will your vision ever been accomplished?

It will never happen as long as company owners and their executives see the source of their sales— the independent sales leaders— as employees or dispensable assets. And until sales leaders begin to see company owners as their most valuable asset…one to be protected vs. the more common pump and dump attitude that most have now. This new paradigm will never exist without a shared vision and shared values. If we truly embody the core values of contribution, partnership, success and integrity we can get there.

However, this synergy will never happen as long as we tolerate greed, unlawful strategies, irresponsible product development and unethical business promotion. It will never happen as long as company founders continue to design compensation strategies that violate the law; violate the DSA Code of Ethics; and as long as those same company founders continue to hide their lawlessness in the complexities of their plans, hoping to run under the radar or at least get big enough fast enough to be able to afford the fines and move on.

What advice would you give Direct Selling Professionals?

  • Do your homework. Find a company that honors your own vision and values, one that is responsible and committed to longevity.
  • Marry your company, for the long haul.
  • Follow your company’s policies and procedures. Do not put your company at risk with unethical marketing or business practices. Check your facts. Just because someone else said it, doesn’t make it true.
  • Follow the spirit and intent of your compensation plan. Compensation plans are designed to incentivize specific behaviors and a specific culture. Undermining the plan undermines the culture.
  • If a divorce is absolutely necessary, do it with honor, integrity and generosity. When it is clear you made a mistake, get out quick and get out clean. Don’t expect to be paid to compete with your former company. There is no leadership or integrity in such an expectation. Also, don’t promote your new company at the public relations expense of your previous company. Remember, at one time you said that they were the best there was.
  • Be a “Do the Right Thing leader. You know what the right thing is. Do that.

What is your vision for Direct Selling in the future? Where is the industry going to?

I expect the overall profession will continue to grow as more and more companies are launched to take advantage of the business model.   This will actually make it more difficult for distributors as the playing field will get  even more crowded with marginal products and opportunities.   I expect we will all fight our way across the finish line …that being the tipping point where most people accept network marketing as the most powerful way to build wealth for the individual.

Matt, how did you got involved in MLM, who pitched you' and is he/she still involved?

I was 18 years old, in college, and working as a banquet waiter for minimum wage. A cute waitress I worked with one night asked me if I ever thought about being in business for myself. Because I wanted to build “rapport” with her, I said yes and she told me to give her my number so we could talk business sometime. A couple days later Mary Beth called and invited me out to a hotel one night to meet some of her business partners. I got shown the Amway business and for the next couple nights couldn’t sleep.

For about two years I attended all the training events, weekly meetings, listened to the weekly cassette tapes and enrolled three people! Two of which I paid for to get in. J The one guy who enrolled quit right away so at the end of two years I had one person in my organization – me!

I lost contact with Mary Beth for almost 15 years and thought I might not ever see her again. Until one night when I was doing a business presentation in Austin Texas (where I got sponsored into Amway) and was getting to know one of the new members on our team before the event. She told me where she worked and I remembered that Mary Beth also worked there so I asked her if she ever worked with her. She replied, “Oh my gosh, she’s one of my best friends!” I had her immediately get me on the phone with Mary Beth and after meeting for lunch and re-connecting, she ended up joining our WorldVentures business!

What is the size of your team, in which countries are they?

In the past 2 ½ years, we’ve built an organization of over 30,000 representatives. We’re doing business in the United States, Canada, Singapore, South Africa, Botswana, Kenya, United Kingdom, Israel, Cyprus, Malta, Germany, Sweden, The Netherlands, Russia, Austria, Hungary, Norway, Greece, Hong Kong and Slovenia.

Who have been your mentors or inspirators?

When I was homeless and living out of my car selling above ground swimming pools in Southern Louisiana, Tony Robbins made a huge impact in my life. One night when I was in a little town in the middle of nowhere, there was no gas station with an open bathroom for me to bathe in. It was about midnight and I had an appointment the next morning. It had been a couple days since my last “bath” and I really needed to bathe myself. I pulled in to a church parking lot and tried to sleep while the rain poured down. But I couldn’t sleep because I could smell myself so I decided to shower in the church parking lot!

After getting back in my car that night, I popped in a Tony Robbins cassette tape that talked about modeling other successful people and his story of reading over 700 books. I decided to model him and start reading everything I could get my hands on as it related to success. Tony was a huge inspiration as well as Les Brown, who wrote the forward to my book, Richard Brooke, Dexter Yager, and many others.

When I was 24 I met Wayne Nugent who became my mentor in Network Marketing. After meeting Wayne and following his mentorship, with almost no previous success, I built an organization of 10,000 people within a two-year timeframe. Wayne is the co-founder and Chief Visionary Officer of WorldVentures.

Did you enroll massive members in WorldVentures or do you have a more selective strategy?

Matt and Rhonda Salah MorrisIn the past 2 ½ years I’ve enrolled just over 60 people personally. I’ve never been the top personal recruiter but always know that I can turn 30 into thousands when you properly follow a system of duplication. When I enroll someone I never baby them or try to make them run when they want to crawl. I’ve found that if you try to turn a chicken into an eagle, you just end up with chicken shit all over you.

But if they’re an eagle or an eagle in training, I let them know immediately that I’m here to be their wing-man… that they can call me every day, or even several times a day if they’re serious. I let them know that if they give me 100%, I’ll give them 100% and teach them everything I know.

If I’m showing the business to someone personally, you might say I’m pretty selective and almost turn people away who are not serious. I let them know that I’m really only looking for “the one”.  The guy or girl who is ready to step up and make a change in their life… Someone who has a huge desire to change their life and willing to go out and work for it. I never paint a picture in their mind that it’s going to be easy – but it will be worth it.

Are you still sponsoring members or are you in retirement modus?

I’m very much still “in the game”. This year I’ve flown over 120,000 miles building teams around the US and around the world. I get asked all the time why I don’t just retire and stop building my business so aggressively. I always reply saying that I’m still building hard for the same reason a professional athlete still plays the game even thought they’ve made millions of dollars and don’t have to. We do it because we LOVE the game!

There’s not much in life more fulfilling than pouring your energy into someone to help them achieve total and complete financial freedom. Personal production is one of my keys to success. If I want my team to go out and sponsor, the best way for me to do that is for me to go out and sponsor.  The speed of the team is determined by the speed of the leader.

While I spend most of my time supporting my existing leadership through events, conference calls, webinars, etc, I am always looking for “the one” to enroll personally that I can go to work with and create a huge success story.

You have an international down-line. Is there a cultural difference in MLM entrepreneurship in the USA and abroad?

I would say there are a lot more similarities than differences. Building strategies may be very different but the nature of people is always the same. I have different “how to” strategies based on different markets but the core message is always a foundation in personal development. My philosophy is that if you build your people through personal development, they will build the business. When you get your mind right, the results will follow.

How do you generate your leads?

With 7 billion people on the planet and 300 million in the United States alone, there is definitely no shortage of people to talk to. Over 17 years in network marketing I’ve kept a very strong database of leaders and leaders in training so even in my current business, I have a lot of people I haven’t even called yet for WorldVentures because I’ve been so busy working with current teams.

My radar is also always up so if I’m out and about, I make it a point to dress sharp (no, not a suit and tie) and keep an eye out for anyone who might be ready to change their life. I simply find out about them and see if there’s an opening. If so, I tell them to write their number down and I’ll get in touch with them for coffee to talk business sometime soon. Having a Ferrari with the license plate, “NO JOB” doesn’t hurt the recruiting process either. 😉

Any type of personal development events or business networking type events have always been a great place for me to meet smart, ambitious people. And while I don’t prospect much through internet marketing, I have developed a pretty decent following through Facebook and Twitter. So from time to time, I’ll have people reach out to me that may have seen me online or read one of my books.

If you were to listen to the experts, the emerging markets like Brazil, Russia, India and China would be the markets to bet on for the largest percentage growth rate. But from my personal experiences, you can’t rely on “the experts” to predict which markets will be the biggest home run. This is a business of leadership and heart more than statistical trends.

I’ve had massive growth in markets that most experts would say you’re crazy to even be in. I’ve had dismal results from major markets that the experts say are the best.

What I look for is one word – leadership. Everything rises and falls on leadership. Put a great leader in a small market and she will outperform a mediocre leader in a huge market. 

You are a very successful distributor. Do you still get rejection?  If so, how do you emotionally handle this? Or is recruiting easier if you are a MLM millionaire?

The day a leader stops getting rejected is the day he is no longer a leader. I get rejected all the time.

While rejection is never the easiest thing in the world to receive, I don’t look at it as personal rejection, but rather them rejecting themselves to create a better life. I consider our job as networkers similar to being a waiter. After a table is through with their meal, the waiter asks if they would like dessert. If the table doesn’t want dessert, a waiter has no reason to feel personally rejected. I look at my business as dessert for life. If someone doesn’t want dessert for life, why should I feel bad?

They just don’t want dessert! There are plenty of others out there who do!

I love a quick rejection because it leads me closer to a yes. The way I look at it is that I get paid for the no’s. When I calculate how much money I’ve made from every no I’ve gotten, it’s thousands of dollars in residual income for each and every no. So the quicker the no, the better. The more no’s I receive, the more financial freedom I achieve!

What would be your advice to a MLM newbie in general.

Matt Morris In ItalyConsider this business a profession just like becoming a doctor or a lawyer. There will be a learning curve and it may not be easy, but if there is anything worth getting good at, it’s this. Nowhere else can you make this kind of money, have this kind of time freedom, and help this many people change their life. Commit to learning the art and science of network marketing like a doctor has to learn medicine.  Read everything you can on network marketing, communication skills, leadership and mindset.

Create short-term goals but also create a long-term vision for your life. Most people over-estimate what they can do in one year but they grossly under-estimate what they can do in ten years. When I got into network marketing I thought I was going to be making a six-figure income in a year. (it took me six years). But I never imagined I would make millions of dollars over the next 15, become a bestselling author, speak to thousands of people at a time, visit over 60 countries, and have people all over the world tell me how much I have made a difference in their lives.

Psychologically, burn the bridges that would allow you to go back and live a life of mediocrity. Good is the enemy of Great. Commit that whatever it takes, you will become a massive success in this industry and live the life of your dreams. This is a BIG game with BIG rewards for those willing to make a BIG commitment.

What is the greatest advantage of MLM?

Most people get involved in MLM for the money. And while the money is great, the time freedom is great, what I love most about the business is the people. This business is like my family. We have a “work hard – play hard” philosophy because we know that the team that plays together, stays together. Through the forging of relationships over the years, those bonds are much more meaningful than the money. When my company gave me a ring encrusted with 60 diamonds for earning over a million dollars in a year I was delighted. When I bought a Ferrari it was cool. But when I see the leaders on my team getting recognized on stage for their accomplishments, it’s a thousand times more meaningful. The greatest joy that network marketing allows for me is being able to spend my life being able to help transform the lives of others.

Golden Gate Capital Corp.’s Neways, a maker of personal care and household products, is weighing restructuring options that would give control of the company to creditors, said three people with knowledge of the talks.

Neways, which defaulted on about $235 million of second- line loans that matured last week, is considering a bankruptcy filing or an out-of-court financial restructuring that would likely lead to Golden Gate losing control, said the people, who declined to be identified because the talks are private.

Creditors that would take over the company include SAC Capital Advisors LP, Z Capital Partners LLC, Silver Point Capital LP and American Capital Ltd. (ACAS), the people said. Golden Gate sought bankruptcy protection for another portfolio company, Orchard Brands, in January after attempts to sell the retailer failed.

“Neways has been actively engaged in negotiations with its lenders for several months and we hope to reach a mutually agreeable resolution as expeditiously as possible,” Meaghan Repko, a spokeswoman for the company, said in an e-mailed statement. “It remains business as usual at Neways and our operations will continue as normal throughout this process.”

Neways, which distributes health and beauty products in nearly 30 countries through a global network of about 500,000 independent distributors, was acquired by San Francisco-based Golden Gate for an undisclosed price in 2006. The Springville, Utah-based company has struggled with operations, including at its business in Japan, according to the people.

Peter J. Solomon Co. is advising Neways, said the people.

Spokesmen for Golden Gate, SAC Capital and Z Capital declined to comment. Silver Point, American Capital and Peter J. Solomon didn’t immediately return calls seeking comment.

Golden Gate, which manages about $12 billion, raised $3.5 billion for its Opportunity Fund last month, according to a person familiar with that investment. The private-equity firm made more than 10 times its $50 million investment in Herbalife Ltd. (HLF), another personal care retailer that went public in 2004, the person said.

Wealth Masters International in Financial Troubles?

Wealth Masters International seems to be in heavy weather. Several sources confirms the company Is super delayed in paying their members – 21+ days past due and even later. Earlier Top Earner Michael Hamburger resigned

Patrick Combs, a hired speaker for an event on his Facebook: Seeking a lawyer to collect around $10,000 from Wealth Masters International (Ironic, I know). Anyhow, they owe me for keynotes I did for them more than 6 months ago in Puerto Rico. A signed contract and collection calls haven't prompted them to pay.

After several leaders resigned, delayed payments are a strong sign the company could be going down. The SEC has placed WMI under investigation:

Wealth Masters International (MFW-03629)

The staff of the Securities and Exchange Commission is making inquiry into certain issues relating to the matter identified above. The staff therefore asks that you voluntarily comply with the requests below.

I. DOCUMENT PRESERVATION
The staff requests you maintain all documents in your possession relating in any way to Wealth Masters International (WMI). Documents mean documents in any form, including handwritten or printed notes, letters, agreements, memos, and e-mails or other electronically generated and preserved documents.

II. DOCUMENT AND INFORMATION REQUESTS
The staff also requests that you voluntarily produce the following documents, as defined above, in your possession to the staff, care of Kathleen Galloway, Enforcement Attorney, at 801 Cherry Street, Suite 1900, Fort Worth, Texas 76102, on or before Wednesday, October 19, 2011. Please note that, if you prefer, you may send us photocopies of the original documents, but the Commission cannot reimburse you for the copying costs. The copies must be identical to the originals, including even faint marks or print. If you choose to send copies, you must keep the originals in a safe place. The staff will accept the copies for now, but may require you to produce the originals later.

1. Any documents relating to any complaint or disagreement by any member or employee of WMI (including by you) regarding any aspect of WMI.

2. Any documents provided to members of WMI, including, but not limited to, other documents provided at any Wealth Conferences hosted by WMI or in connection with any other WMI member meeting or telephone calls, as well as any investment letters,
including the Vertical Research Advisory.

3. Any notes you took during any WMI meeting or telephone call.

4. Any documents relating to any security or other investment recommended by WMI to its members.

5. Any documents relating to Falcon Oil & Gas.

6. Any documents showing WMI's formation, ownership structure, and percentages owned.

7. Any communications with WMI senior management, including, but not limited to, Kip Herriage or Karl Bessey.

8. Any other documents relating to WMI.

This inquiry is confidential. The Commission has not determined that the matters under inquiry involve violations of the federal securities laws, and you should not take this inquiry as a reflection upon any person, company or security. You have the right to consult with and be represented by your own lawyer in connection with the inquiry. Mud Hits the Fan for WMI

Wealth Masters International – the Writing is on the Wall

A string of negative events for Wealth Masters International is having a marked effect on WMI.  Apparently its sales are plummenting.

Key WMI reps such as Sue and Jerry Smart are scrambling to lock in alternative income streams, simply because their own sales have been dropping like a stone.

Here is a summary of the main problems that WMI has been experiencing recently:

1. Sales Executive Walks Out. Deanna Latson Quit WMI.  Apparently she wasn’t happy with what was going on behind the scenes (company not paying its bills etc).

2. Michael Hamburger Quits. Ex Liberty League and Lifepath Unlimited rep Michael Hamburger has jumped ship once again in favour of Brent ‘Liberty League’ Payne’s Avant.

3. SEC Launches Investigation. The SEC in the US launched an investigation into Wealth Masters for possible ‘securities violations‘ to do with WMI’s planned stock market float, which is now surely a a non-starter.

4.  New Zealand Launches Investigation. New Zealand’s Commerce Commission has launched an investigation into WMI , no doubt prompted by the Norway’s decision earlier this year to declare Wealth Masters an illegal pyramid.

The above represents negative events that have happened in just the last month.  Ouch!

Businesses such as WMI do not survive when confidence is undermined.  If just one of these events occurred it would place Wealth Masters at great risk.  But the company has been hit with four bad events in one month – not a good look!  Catastrophic in fact.

The Future for WMI?
